VaiCall Terms of Service

These Terms of Service (“Terms”) apply to your use of the VaiCall application and related services provided by Accudi, Inc., a Delaware corporation (“Accudi,” “we,” “us,” or “our”). By accessing or using VaiCall, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

VaiCall is an AI-powered calling assistant that can place outbound telephone calls on your behalf, relay information, and provide transcripts, translations, and summaries of those calls. The Service is primarily designed to help individuals manage personal calls more easily; while business or campaign usage is permitted, those use cases are subject to stricter telemarketing and AI voice regulations, and you are solely responsible for researching and complying with them. Additional features include inbound call handling, call management, and integrations with third-party communication platforms.

2. Eligibility & Account Responsibilities

You must be at least 18 years old (or the age of majority in your jurisdiction) to use VaiCall. You are responsible for keeping your account credentials secure, maintaining accurate account information, and ensuring you have the necessary device, network connection, and permissions to operate the Service.

3. AI Disclosure and Consent

All VaiCall-initiated calls begin with a disclosure that the caller is an artificial-intelligence-powered system operated by Accudi. By using the Service you authorize the assistant to place calls, speak on your behalf, and communicate any scripts or instructions you supply. Users in the United States must explicitly notify callees that they are interacting with an AI-generated voice, consistent with the Federal Communications Commission’s 2024 ruling that classifies AI voices as “artificial or prerecorded voices” under the TCPA. You must never disable, bypass, or misrepresent this disclosure and you may not impersonate another person or entity without authorization. You are responsible for ensuring all recipients have provided any required consent for AI-assisted communications.

4. Lawful Use, Telephony, and TCPA Compliance

You agree to comply with all applicable telephony, privacy, consumer-protection, and marketing laws, including the Telephone Consumer Protection Act (TCPA), state all-party consent statutes, DNC (Do Not Call) rules, and international equivalents. The FCC requires AI-generated calls to (a) identify the entity responsible for the call, and (b) provide an easy, interactive opt-out for future contact; you must configure your prompts and call flows to satisfy those obligations and to log proof of consent. Business campaigns or large-scale outreach may trigger additional federal, state, and international rules (including political or commercial robocall restrictions); you are solely responsible for understanding those requirements. You must obtain and document any consent required to contact individuals, and you may not use VaiCall for unlawful, harassing, deceptive, or impersonating messages. Accudi may suspend or terminate accounts for suspected violations or refuse liability for regulatory penalties you incur.

5. Recordings, Transcripts, and Data Practices

  • Audio: Calls are not recorded by default. Audio is only stored when you explicitly request a download. Downloaded audio is retained for up to ninety (90) days before permanent deletion.
  • Transcripts & summaries: AI-generated transcripts, summaries, and metadata (time, duration, participants, language) are stored for up to twelve (12) months unless you delete them sooner.
  • Third parties: Telephony, speech processing, and hosting vendors may process call data to provide the Service. Their use is limited to fulfilling these functions and is subject to contractual safeguards.

6. Subscriptions, Fees, and Billing

VaiCall offers pay-as-you-go and subscription options, including Apple In-App Purchases. Fees, auto-renewal terms, refunds, and taxes are governed by the applicable platform (e.g., Apple) plus any supplemental terms displayed in-app. You authorize us (and the platform provider) to charge the payment method on file for recurring fees until you cancel in accordance with platform instructions. We may change pricing with notice as required by law.

7. Acceptable Use

You agree not to:

  • Engage in spam, fraud, or misleading campaigns.
  • Infringe the rights of any person, including privacy, publicity, or intellectual property rights.
  • Upload malicious code or attempt to interfere with the Service.
  • Reverse engineer, decompile, or circumvent security features.
    Accudi may investigate violations and cooperate with law enforcement when required.

8. Intellectual Property

VaiCall, including its software, interfaces, and trademarks, is owned by Accudi or our licensors. You retain ownership of the content and instructions you submit, but you grant Accudi a worldwide, non-exclusive, royalty-free license to process that content solely to deliver and improve the Service.

9. Third-Party Services and Integrations

The Service may integrate with third-party products (e.g., telephony carriers, CRM tools). Your use of those integrations may be subject to the third party’s separate terms. Accudi is not responsible for the acts or omissions of third-party providers.

10. Updates and Beta Features

We may introduce new features, beta programs, or interface changes. Beta features may be disabled or discontinued at any time without notice. Continued use after an update constitutes acceptance of any modified functionality.

11. Disclaimer of Warranties

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, Accudi disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability. We do not guarantee specific call outcomes or accuracy of AI-generated content.

12. Limitation of Liability

To the fullest extent permitted by law, Accudi and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, consequential, special, or exemplary damages arising out of or in connection with the Service. Our total liability for direct damages is limited to the greater of (a) amounts you paid to use VaiCall in the twelve months preceding the claim, or (b) $100. Some jurisdictions do not allow certain limitations, so portions of this section may not apply.

13. Indemnification

You agree to indemnify, defend, and hold harmless Accudi and its officers, directors, employees, and agents from any claims, losses, liabilities, damages, expenses, and costs (including reasonable attorneys’ fees) arising from your violation of these Terms, applicable laws, or third-party rights.

14. Suspension & Termination

Accudi may suspend or terminate access if you breach these Terms, misuse the Service, create legal risk for us, or fail to pay fees. You may stop using the Service at any time. Sections intended to survive termination (including ownership, disclaimers, limitations of liability, indemnification, and dispute resolution) remain in effect.

15. Dispute Resolution, Arbitration & Class Waiver

Except for claims that qualify for small-claims court, any dispute between you and Accudi will be resolved through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration will take place in New York County, New York, unless both parties agree otherwise. BY AGREEING TO ARBITRATION, YOU WAIVE THE RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION. This section is governed by the Federal Arbitration Act. If the class-action waiver is found unenforceable, this entire arbitration clause will be null and void.

16. Governing Law

These Terms and any disputes are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs the interpretation of the arbitration clause.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via the app, email, or another reasonable method. Continued use after the effective date of a revised version constitutes acceptance of the updated Terms.
